Incorporating in the Netherlands means creating a legal person separate from its owners, usually a private limited company (besloten vennootschap, BV). Under Article 2:175 of the Dutch Civil Code (BW) a BV is formed by a notarial deed and its shareholders are not personally liable for its debts; the shield weakens, however, if directors manage improperly or fail to file accounts.

This article covers the legal side: which entity to choose, how incorporation works, what limited liability does and does not protect, director liability and the obligations after the deed. Tax structuring is a separate matter for a Dutch tax adviser and is not covered here.

What does incorporation mean under Dutch law?

A BV or NV acquires legal personality when the deed of incorporation is executed before a Dutch civil-law notary. Book 2 BW governs both, as well as cooperatives, associations and foundations.

Legal personality separates the company’s assets from the founders’. The company can sue and be sued, own property, employ staff and grant security, and its creditors have recourse to its assets, not to the shareholders’.

A sole trader (eenmanszaak) and a general partnership (vennootschap onder firma, VOF) have no separate legal personality. Under Article 18 of the Commercial Code (WvK) each VOF partner is jointly and severally liable for all business debts. That, more than tax, is why many entrepreneurs move to a BV.

Incorporation is also public. The company, its directors and its ultimate beneficial owners (UBOs) are registered with the Chamber of Commerce (Kamer van Koophandel, KVK), and annual accounts are filed. Dutch law buys limited liability with transparency.

Should you choose a BV, an NV or another form?

For almost every business the BV is the right choice. There is no minimum capital, shares can carry different voting and profit rights, and the articles can be tailored to the founders’ arrangements. Under Article 2:196 BW share transfers require a notarial deed, which keeps the shareholder base controllable.

The public limited company (naamloze vennootschap, NV) is needed for a stock exchange listing. Under Article 2:67 BW it requires a minimum capital of €45,000, and its rules are less flexible. Choosing an NV where a BV would do adds cost without legal benefit.

A cooperative (coöperatie) has legal personality and is used in agriculture, energy and joint ventures. A foundation (stichting) has no members; a trust office foundation (stichting administratiekantoor) is often used to separate economic rights from control in a family business.

A foreign company can choose between a subsidiary and a branch. A branch is registered with the KVK but is not a separate legal person, so the foreign company remains liable for everything it does. A subsidiary BV contains that liability.

How is a Dutch BV incorporated?

Through a civil-law notary, in four steps. The process is the same for Dutch and foreign founders.

  1. ओळख. Under anti-money-laundering rules the notary identifies the founders and, for corporate founders, the natural persons behind them. Complete, certified and where necessary legalised documents decide how long this takes.
  2. घटनापत्रक. These set the name, seat and objects, share classes, board composition, representation, transfer restrictions and the general meeting. Think now about deadlock and exit, because changing the articles later requires another notarial deed.
  3. Deed of incorporation. Under Article 2:175(2) BW every founder signs the deed; founders abroad can act through a written power of attorney.
  4. नोंदणी The company, its directors and their powers are registered with the KVK; the UBOs are registered in the UBO register. Since the Court of Justice of the EU judgment of 22 November 2022, the register is no longer open to the general public.

Under Article 2:180(2) BW directors are jointly and severally liable, alongside the company, for legal acts performed before the first registration in the trade register is complete. Acts on behalf of a BV in formation bind the company only after ratification (Article 2:203 BW); see our कंपनी स्थापनेपूर्वीच्या दायित्वाची मार्गदर्शिका. Do not start trading before registration.

What does limited liability protect, and what not?

A shareholder is not liable for the company’s debts beyond what must be paid up on the shares (Article 2:175(1) BW). That does not mean the people behind a company can never be reached.

  • Personal guarantees. Banks, landlords and large suppliers often ask a director or shareholder to co-sign or guarantee, and that guarantee outlives the company.
  • Director liability. See the next section.
  • Tort. Under Article 6:162 BW a director who personally acts wrongfully towards a creditor, for example by entering into obligations knowing the company cannot meet them, can be liable personally.
  • Group liability. A parent company is not liable for its subsidiary’s debts unless it filed a declaration of joint liability under Article 2:403 BW, often done to exempt the subsidiary from publishing full accounts. Make that trade-off consciously.

संचालक वैयक्तिकरित्या केव्हा जबाबदार असतात?

A director must perform their duties properly and is liable to the company for serious improper performance under Article 2:9 BW. Directors act in the interest of the company and its enterprise, which is not the same as following the majority shareholder; see our article on भागधारकांचे हित आणि कंपनीचे हित.

In bankruptcy the exposure is sharper. Under Article 2:248 BW the trustee can hold each director jointly and severally liable for the deficit if the board manifestly mismanaged the company and this was an important cause of the bankruptcy. If the board did not keep proper books (Article 2:10 BW) or did not file the annual accounts on time (Article 2:394 BW), improper management is established and is presumed to be an important cause. Late filing is therefore not a minor slip. See our article on directors’ liability of a Dutch BV director.

Distributions have their own test. Under Article 2:216 BW the board must approve every dividend and refuse if it knows or should foresee that the company will then be unable to pay its due debts. If the company cannot pay its debts after a distribution, directors who knew or should have foreseen this are jointly and severally liable to the company for the shortfall, and a shareholder who received the payment knowing or reasonably foreseeing it must compensate the shortfall as well.

Shareholder disputes have their own procedures, including the inquiry procedure before the Enterprise Chamber (Ondernemingskamer) या Amsterdam Court of Appeal, with interim measures such as suspending a director, and the statutory buy-out and withdrawal procedures.

Which obligations continue after incorporation?

Incorporation starts a permanent compliance cycle, most of it legal rather than fiscal.

  • File the annual accounts within eight days of adoption and in any event within twelve months after the end of the financial year (Article 2:394 BW).
  • Report changes of directors, representation, address or UBOs to the KVK तातडीने.
  • Keep a shareholders’ register and record board and shareholder resolutions.
  • Set up a works council (ondernemingsraad) once the enterprise normally employs at least 50 people (Article 2 Works Councils Act, WOR).
  • Comply with the GDPR from day one and, in critical sectors, with the Cyberbeveiligingswet (the Dutch NIS2 implementation, in force since 15 August 2026).

Winding up has its own rules. Under Article 2:19(4) BW a company without assets ceases to exist upon dissolution, even if debts remain, and under Article 2:19b BW the board must then file a balance sheet and statement of income and expenditure within fourteen days. Where there are assets, formal liquidation follows.

Which mistakes do foreign founders make?

Four problems come up repeatedly, and all are avoidable.

  • Treating the articles as boilerplate. Standard articles fail once there are two shareholders; add a consistent shareholders’ agreement on deadlock, exit and valuation.
  • Underestimating identification. Notary and bank each run anti-money-laundering checks; a multi-jurisdiction holding structure takes weeks to document.
  • Assuming registration creates substance. A company with only a service address may be a Dutch legal person but fail requirements for permits or residence applications for staff.
  • Signing without authority. Check in the KVK extract whether a director may act alone; a jointly authorised director signing alone creates a defect.

What should you check as a founder before going to the notary?

  • Who are the shareholders, in what proportions, and directly or through a personal holding company?
  • Who are the directors, and do they act alone or jointly?
  • Have the founders agreed contribution, vesting, transfer restrictions, non-compete and exit?
  • Is the company name free in the trade register and the Benelux trademark register?
  • If an existing business moves into the BV: are contracts, IP (assigned in writing) and employees transferred properly?

What should you check as a foreign company setting up in the Netherlands?

  • Is a subsidiary BV or a branch better for your risk profile and local contracts?
  • Are certified and legalised documents available for every company and person in the ownership chain?
  • Who will be the Dutch directors, and where will decisions actually be taken?
  • Will you issue a 2:403 declaration, accepting liability for the subsidiary’s debts?
  • Have you aligned the legal structure with advice from a Dutch tax adviser?

सतत विचारले जाणारे प्रश्न

डच बीव्हीसाठी किमान भागभांडवल आहे का?

No. Since the flexibilisation of BV law there is no minimum capital; a BV can be incorporated with a very small issued capital. An NV requires at least €45,000 under Article 2:67 BW.

Do directors or shareholders of a BV have to live in the Netherlands?

No. Dutch law does not require Dutch residence for shareholders or directors, and founders abroad can sign the deed of incorporation through a power of attorney. Where decisions are actually taken can matter for permits and other purposes.

How long does it take to incorporate a BV?

The deed itself can be executed quickly once the documents are ready. The identification checks under anti-money-laundering rules usually decide the timeline, especially for holding structures in several countries.

How are Dutch companies taxed?

Corporate income tax rates and facilities change annually and depend on the structure. We do not give tax structuring advice; put the tax side to a Dutch tax adviser before choosing a structure, and align the legal and fiscal analysis.
