नेदरलँड्समधील भागधारक विवाद: तुमच्यासाठी कोणते मार्ग खुले आहेत?

टेबलावर हातोडा आणि तराजू ठेवून केलेला हस्तांदोलन

A shareholder dispute in a Dutch bv or nv can be resolved along four routes: the mechanisms in your shareholders’ agreement and articles of association, mediation or arbitration, the statutory dispute rules (geschillenregeling) in Book 2 of the Dutch Civil Code (BW), and inquiry proceedings (enquête) before the Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeal. Since 1 January 2025 statutory claims to force a shareholder out or to force your own exit start by petition directly at the Enterprise Chamber, with only an appeal in cassation to the Supreme Court (Hoge Raad) afterwards.

Which route fits depends on what you want: stay and correct the company, leave at a fair price, or remove someone else. For a step-by-step guide through the proceedings, see our भागधारक विवादाचा संपूर्ण आराखडा, and for commercial litigation in general our guide to डच कॉर्पोरेट कायद्यातील व्यावसायिक विवाद.

What counts as a shareholder dispute under Dutch law?

A shareholder dispute is a conflict between shareholders about control, money or direction that the general meeting can no longer resolve by vote. Under Article 2:8 BW the company and everyone involved in its organisation, including shareholders, must treat each other according to reasonableness and fairness (redelijkheid en billijkheid).

Most disputes start in one of four ways: a strategic split, a fight about dividends, alleged mismanagement or self-dealing, or a breach of the shareholders’ agreement. Dividend fights often turn on Article 2:216(2) BW: the board must refuse to approve a distribution if it knows or should foresee that the bv could then no longer pay its debts as they fall due.

A 50/50 deadlock cuts across all four. Two equal shareholders who disagree cannot appoint or dismiss a director or adopt the annual accounts, while the company’s legal obligations, such as filing accounts with the Chamber of Commerce (KVK), keep running.

What do your shareholders’ agreement and articles say?

Read the shareholders’ agreement (aandeelhoudersovereenkomst) and the articles of association (statuten) first. They often contain a mechanism designed for exactly your situation, and the Enterprise Chamber expects you to have used it.

The articles of a bv usually contain a transfer restriction (blokkeringsregeling). Unless the articles provide otherwise, Article 2:195 BW requires a selling shareholder to offer the shares to the other shareholders first, at a value set by independent experts. Any restriction must still allow a shareholder who wants to leave to actually sell.

Which clauses break a deadlock?

Three contractual mechanisms do most of the work. A buy-sell clause requires a shareholder to offer the shares in defined events, such as departure, incapacity, death or deadlock, at a price method agreed in advance. Drag-along and tag-along clauses let a majority sell 100% of the company and let the minority join a sale on the same terms.

The third is the shotgun clause: one shareholder names a price per share and the other must either sell at that price or buy at that price. It pushes both towards a fair number, but works badly when one party has far more access to finance than the other.

A shareholders’ agreement binds only its parties. Under Article 2:337(2) BW the articles or an agreement may refer statutory disputes to arbitration, but under Article 2:337(1) BW a contractual deviation cannot be relied on if it makes a transfer of shares impossible or extremely difficult.

Can you resolve the dispute privately?

Yes, through negotiation, mediation or arbitration, and these routes preserve confidentiality and value. Enterprise Chamber proceedings are public and take months.

A mediator structures the talks but decides nothing, which allows solutions a court cannot order, such as a staged buy-out over three years. The outcome is recorded in a settlement agreement (vaststellingsovereenkomst) under Article 7:900 BW. Arbitration is binding and private, but only if the parties agreed to it, and inquiry proceedings cannot be excluded by contract.

Private routes do not stop the disputed conduct. If assets are moving out of the company, prepare the formal route in parallel.

How do the statutory dispute rules work since 2025?

The dispute rules give shareholders two claims: forcing another shareholder out (uitstoting) and forcing your own exit (uittreding). Since 1 January 2025, under the act amending the dispute rules (Wagevoe, Bulletin of Acts 2024, 174), both are started by petition at the Enterprise Chamber of the Amsterdam अपील न्यायालय.

Three changes matter. Proceedings no longer start by writ of summons at the district court. The Enterprise Chamber is the only court on the facts, so one appeal layer has gone. And under Article 2:336a(6) BW related claims between the same parties, such as a damages claim based on the same conduct, can be brought in the same petition.

Forcing a shareholder out (uitstoting)

Under Article 2:336a(1) BW shareholders holding at least one third of the issued capital, alone or together, can ask the Enterprise Chamber to order a shareholder to transfer their shares. The test is that this shareholder’s conduct harms the company’s interest so much that their continued shareholding can no longer reasonably be tolerated.

Since 2025 conduct counts whether or not it was in the capacity of shareholder, so conduct as a director, a competitor or a private person also counts. The court wants a documented pattern, such as structural obstruction of necessary decisions, leaking confidential information to a competitor or refusing essential financing. One heated general meeting is not enough. Under Article 2:336a(5) BW the court can adjourn its decision if the parties commit to measures that limit the harm.

Forcing your own exit (uittreding)

Under Article 2:343(1) BW a shareholder whose rights or interests are harmed by co-shareholders’ conduct, to the point that continuing can no longer reasonably be required, can ask the Enterprise Chamber to order them to buy the shares. The court can also order the company itself to buy, within the buy-back limits of Article 2:207 BW. There is no minimum holding.

Claims succeed where the minority is structurally excluded from information and decisions, or profit is diverted through management fees or related-party contracts. A strategy or dividend policy the minority dislikes, but which the board can justify, is not enough. Under Article 2:343(3) BW the court can increase the price if the others’ conduct depressed the value of the shares.

How are the shares valued?

The Enterprise Chamber first decides whether the transfer must take place, then the price. It appoints one or more independent experts to report on the price (Article 2:339(1) BW) and follows a valuation method agreed in the articles or the shareholders’ agreement where one exists.

Under Article 2:343a(1) BW the buyers must take over the shares within two weeks after the price decision has been served on them. Minority discounts, shareholder loans, goodwill and the valuation date are often contested, so arrive with your own reasoned valuation.

The 95% squeeze-out

Under Articles 2:92a (nv) and 2:201a (bv) BW a shareholder holding at least 95% of the issued capital can claim the remaining shares before the Enterprise Chamber; in a bv the claimant must also control at least 95% of the votes. No misconduct is required, and only cassation is possible against the ruling. The court refuses the claim if a minority holder would suffer serious material loss despite payment, or holds a share with special control rights.

What can an inquiry before the Enterprise Chamber achieve?

Inquiry proceedings ask whether the company has been properly managed, not who should own the shares. The Enterprise Chamber can order an investigation and intervene in the company while the case runs.

Who can file an inquiry petition?

Under Article 2:346(1)(b) BW, for a bv or nv with issued capital up to €22.5 million, holders of at least 10% of the issued capital or shares with a nominal value of €225,000 may file, unless the articles set a lower threshold. For larger and listed companies the threshold is 1% of the issued capital, with an alternative market-value threshold for listed companies. The company itself and the works council may also file.

Under Article 2:349(1) BW you must first send your objections in writing to the management board and the supervisory board and allow a reasonable period for them to investigate. Skipping that step makes the petition inadmissible.

What can the Enterprise Chamber order?

Under Article 2:350(1) BW the court orders an investigation if there are well-founded reasons to doubt proper policy or a proper course of affairs. Under Article 2:349a(2) BW it can take immediate provisional measures at any stage, such as suspending a director, appointing an independent director or transferring shares to an administrator.

If the investigation shows mismanagement (wanbeleid), Article 2:356 BW allows lasting measures: suspension or annulment of resolutions, dismissal or appointment of directors, temporary deviation from the articles, temporary transfer of shares and, as a last resort, dissolution. The company pays for the investigation up to a maximum set by the court (Article 2:350(3) BW). For more on this court, see our article on the एंटरप्राइझ चेंबर (Ondernemingskamer).

तुमच्या परिस्थितीला कोणता मार्ग योग्य आहे?

Choose by outcome and urgency. If value is leaving the company now, only immediate provisional measures in inquiry proceedings intervene quickly, usually within weeks.

What about directors caught between shareholders?

A director owes the company proper performance of duties under Article 2:9 BW and must act in the interest of the company and its business under Article 2:239(5) BW, not in the interest of the shareholder who appointed them. Voting your shares in your own interest is legitimate; running the board that way is not.

Under Article 2:239(6) BW a director with a conflicting personal interest may not take part in the decision. Ignoring that rule is a frequent finding in inquiry reports and can be avoided by recording the conflict in the minutes and stepping back.

  • Check the transfer restriction and any buy-sell or shotgun clause before going to court.
  • Check that board decisions respect the conflict-of-interest rule of Article 2:239(6) BW.
  • Have the shares valued early, as the price is usually the biggest issue.

सतत विचारले जाणारे प्रश्न

What is the first step in a shareholder dispute?

Read the articles of association and the shareholders’ agreement. They often contain a buy-sell, deadlock or valuation clause, and the Enterprise Chamber expects you to have used it. Then put your objections to the board in writing.

Which court handles shareholder disputes in the Netherlands?

The Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeal handles uitstoting, uittreding, squeeze-outs and inquiry proceedings. Since 1 January 2025 dispute-rules cases start there by petition, and only an appeal in cassation to the Supreme Court is possible.

भागधारकांच्या वादाला किती वेळ लागतो?

Immediate provisional measures in inquiry proceedings can be ordered within weeks. An investigation usually takes months, and in dispute-rules cases the expert valuation is often the longest phase. A negotiated or mediated settlement is usually the fastest route.

Can a minority shareholder force the others to buy their shares?

Yes. Under Article 2:343 BW any shareholder, regardless of the size of the holding, can ask the Enterprise Chamber to order co-shareholders, or the company, to buy the shares if their conduct makes continued shareholding unreasonable.
