Retroactive effect in a Dutch legal merger means that the results of the disappearing company are reported in the accounts of the acquiring company from a date earlier than the merger itself. The merger takes legal effect only on the day after the notarial deed is executed (Article 2:318(1) of the Dutch Civil Code, BW); the earlier accounting date, often called the hinge date, must be stated in the merger proposal under Article 2:312(2)(f) BW.

The two dates run side by side and are often confused. This article explains how they relate, how far back the hinge date can go, the requirement for up-to-date financial documents with the merger proposal, and the position of creditors. Our कॉर्पोरेट कायदा मार्गदर्शक विलीनीकरण प्रक्रियेबद्दल अधिक तपशीलवार माहिती देऊया.

What is the difference between the legal merger date and the accounting date?

On the legal merger date the assets and liabilities of the disappearing company pass by universal title to the acquiring company, and the disappearing company ceases to exist. On the accounting date the disappearing company’s financial results start to count for the account of the acquiring company.

The deed may only be executed within six months after the announcement that the merger proposal has been filed, or, after a creditor objection, within one month after it is withdrawn or lifted (Article 2:318(1) BW). The acquiring company must register the merger in the Trade Register within eight days after the deed (Article 2:318(3) BW). The accounting date, by contrast, can lie months earlier: revenue, costs, profit and loss of the disappearing company are then included in the acquiring company’s accounts from, for example, 1 January.

How far back can the accounting date go?

Article 2:312(2)(f) BW requires the proposal to state, for each disappearing company, the date from which its financial data will be accounted for in the acquiring company’s annual accounts. The law sets no explicit outer limit.

In practice the date is usually the start of the current financial year, often 1 January. The practical limit is the last adopted annual accounts: results cannot be moved into a financial year whose accounts have already been adopted and filed. If the financial years of the merging companies differ, assess for each company how the hinge date relates to its last adopted financial year; a standard 1 January date then does not automatically work.

What does retroactive effect mean for the accounts?

The results of the disappearing company are included in the acquiring company’s figures from the hinge date. Transactions between the merging companies in the intervening period must be eliminated to avoid double counting.

The administration must show which items are for the acquiring company’s account from that date, and the annual accounts and notes must match the merger structure. This requires coordination between the finance team, the auditor, the tax adviser and the notary well before the proposal is filed.

Is retroactive effect also accepted for tax purposes?

Not automatically. For corporate income tax, mergers often use the facility for a tax-neutral legal merger in Article 14b of the Corporate Income Tax Act 1969 (Wet Vpb 1969), which has its own conditions and anti-abuse rules.

The civil-law hinge date and its tax treatment often run in parallel, but the tax position must be assessed separately by a tax adviser, in particular where there are losses, differing legal forms or cross-border elements.

Which financial documents must accompany the merger proposal?

Each merging company files the proposal with the Trade Register, together with its last three adopted annual accounts and annual reports where these must be available (Article 2:314(1) BW). If its last financial year for which accounts were adopted ended more than six months before filing, the board must also prepare annual accounts or an interim statement of assets and liabilities (Article 2:313(2) BW).

That interim statement shows the position at the earliest on the first day of the third month before the month of filing. It follows the layout and valuation methods of the last adopted accounts, unless a reasoned departure is made because current value differs significantly from book value. The six-month test is applied once, at the moment of filing; the older accounts are not invalid, they are simply not enough for the merger file.

What must the board report after filing?

Under Article 2:315(1) BW each board must inform the general meeting and the other merging companies of significant changes in assets and liabilities after the merger proposal that affected the information in the proposal or the explanatory notes. The law does not require a new six-month test before the deed.

If filing and execution are months apart, for example because of a creditor objection, check whether the filed figures still reflect the financial position. An updated statement or an express disclosure under Article 2:315(1) BW is the safest way to avoid discussion with creditors or the notary.

What if the financial documents are missing or outdated?

The merger is not automatically void. Under Article 2:323(1) BW the court can annul a merger only on a limited list of grounds, such as a deed that is not an authentic instrument, a defective resolution of the general meeting, or non-compliance with Article 2:318(2) BW.

Article 2:318(2) BW requires the notary to declare at the foot of the deed that the formal requirements and the other merger rules have been complied with. As long as the file is incomplete, the notary cannot make that declaration and will refuse to execute the deed until the documents are supplemented. Missing documents therefore mainly block execution and can raise questions of director liability.

What can creditors do?

Object to the merger proposal at the district court within one month after all merging companies have announced the filing, stating the security they require (Article 2:316(2) BW). Under Article 2:316(1) BW at least one merging company must provide security to a creditor who asks for it.

That duty does not apply if the creditor already has sufficient security, or if the acquiring company’s financial position after the merger offers no less assurance of payment than before. The court rejects the objection if the creditor does not make that plausible. Outdated documents are not a separate ground for objection, but they can help make reduced assurance plausible.

What must the merger proposal contain?

The hinge date cannot be added afterwards: it must be stated in the merger proposal that is filed with the Trade Register (Article 2:312(2)(f) BW). The proposal also states, among other things, the legal form, name and seat of the merging companies and the articles of the acquiring company.

It further sets out rights granted to holders of special rights, benefits for directors, the intended board composition after the merger and the measures for the transfer of shareholdings. An unclear or incomplete proposal causes problems at the notary’s review, with creditors or in the tax assessment.

What does retroactive effect mean for employees, creditors and shareholders?

Nothing for their legal position: retroactive effect only concerns financial reporting. Legal consequences for third parties arise on the legal merger date, under the rules of merger law.

Where trade unions or the works council are involved, the एसईआर विलीनीकरण कोड and the consultation rules follow their own timetable, not the accounting one. Communicate clearly so that the hinge date does not create the impression that anyone’s position changes earlier.

What should you check as the board of a merging company?

  • State the accounting date for each disappearing company in the merger proposal (Article 2:312(2)(f) BW).
  • Check that the hinge date does not fall in a financial year whose accounts are already adopted.
  • Check whether the last adopted financial year ended more than six months before filing; if so, prepare an interim statement (Article 2:313(2) BW).
  • Diarise the one-month creditor objection period and the six-month window for the deed (Articles 2:316 and 2:318 BW).
  • Report significant changes in assets and liabilities after filing (Article 2:315(1) BW).
  • Have the tax position, including Article 14b Wet Vpb 1969, assessed by a tax adviser before filing.

सतत विचारले जाणारे प्रश्न

From which date can the accounting retroactive effect start?

From the date stated in the merger proposal under Article 2:312(2)(f) BW, usually the start of the current financial year. The law sets no explicit limit, but the date should not fall in a year whose annual accounts have already been adopted.

Are financial documents older than six months invalid?

No, but they are not sufficient. If the last adopted financial year ended more than six months before filing, the board must prepare annual accounts or an interim statement of assets and liabilities (Article 2:313(2) BW).

Can a merger be annulled because of defects in the merger file?

Only on the limited grounds of Article 2:323(1) BW, which include non-compliance with the notary declaration requirement of Article 2:318(2) BW. In practice the notary refuses to execute the deed while the file is incomplete.

Does retroactive effect also apply for tax purposes?

Not automatically. The tax position, including the facility for legal mergers in Article 14b of the Corporate Income Tax Act 1969, must be assessed separately by a tax adviser.
