नेदरलँड्समधील कॉर्पोरेट खटले: मार्ग, अंतिम मुदत आणि रणनीती

कॉर्पोरेट खटला

Corporate litigation in the Netherlands runs through four main routes: ordinary proceedings on the merits before the district court, summary proceedings (kort geding) for urgent provisional measures, inquiry proceedings (enquêteprocedure) before the Enterprise Chamber (Ondernemingskamer) for disputes inside a company, and proceedings before the Netherlands Commercial Court (NCC) in English. Which route fits depends on what you want to achieve: a final judgment, a quick order to stop something, or intervention in a company that is being mismanaged.

The choice of forum and timing often matters as much as the strength of the claim. This article explains each route, the deadlines that apply and the alternatives of mediation and arbitration.

Which court hears a business dispute?

Most business disputes go to the commercial division of the district court (rechtbank). Under Article 93 of the Dutch Code of Civil Procedure (Rv) claims of up to €25,000, as well as employment, rental and consumer cases, go to the subdistrict court (kantonrechter), where you do not need a lawyer.

Ordinary proceedings decide the merits and typically take a year or more at first instance, depending on the court and whether witnesses or experts are heard. Much of the case is decided on paper: the writ of summons (dagvaarding) and the statement of defence must set out the facts and the evidence in full. Dutch law has no US-style discovery, but a party can claim access to specific documents it has a legitimate interest in (Article 194 Rv, which replaced the former Article 843a Rv on 1 January 2025).

When are summary proceedings the right route?

Summary proceedings are for urgent cases where you need a provisional order quickly, for example to stop a competitor, enforce a non-compete or obtain an advance payment. The preliminary relief judge (voorzieningenrechter) can rule within weeks, and in very urgent cases within days.

The order is provisional: either party can start proceedings on the merits afterwards. Under Article 339(2) Rv the appeal term against a summary judgment is four weeks, against three months for an ordinary judgment (Article 339(1) Rv).

एंटरप्राइज चेंबर काय करू शकते?

एंटरप्राइज चेंबर ऑफ द Amsterdam Court of Appeal is the specialist court for disputes inside a company. In inquiry proceedings (Articles 2:344-2:359 BW) it can order an investigation into the policy and course of affairs and, if it finds mismanagement, take far-reaching measures.

Under Article 2:349a BW the Enterprise Chamber can also take immediate measures during the proceedings, such as suspending a director, appointing an independent director or transferring shares to a custodian. Under Article 2:346 BW shareholders of a BV or NV with an issued capital of up to €22.5 million need at least one tenth of the capital, or shares with a nominal value of €225,000, unless the articles set a lower threshold.

The Enterprise Chamber also decides squeeze-out and exit claims between shareholders under the dispute resolution rules of Articles 2:335-2:343 BW, for example when a shareholder’s conduct is so harmful that the others can demand the transfer of his or her shares. Other shareholder disputes, such as a claim for damages, go to the district court.

When is the Netherlands Commercial Court an option?

The NCC, a chamber of the Amsterdam District Court and Court of Appeal, hears international commercial disputes in English. The parties must agree expressly to its jurisdiction, in their contract or after the dispute has arisen. Court fees are higher than in ordinary proceedings, but you get English-language judgments and judges experienced in international trade.

How can you secure your claim before judgment?

With a prejudgment attachment (conservatoir beslag) you can freeze the other party’s bank accounts, assets or shares before the court has ruled. Under Article 700 Rv you need leave from the preliminary relief judge, who decides on a summary examination, without hearing the other side.

Unless proceedings on the merits are already pending, you must start them within the term set by the judge, which is at least eight days after the attachment (Article 700(3) Rv). An attachment often brings a counterparty to the negotiating table. If your claim later turns out to be unfounded, you are liable for the damage the attachment caused.

Are mediation or arbitration better alternatives?

Mediation is voluntary and confidential: a neutral mediator helps the parties reach their own settlement, which suits disputes between parties who want to keep working together. A settlement reached in mediation can be recorded in a settlement agreement (vaststellingsovereenkomst, Article 7:900 BW).

Arbitration is only possible if the parties have agreed to it, in a contract clause or after the dispute has arisen. The Netherlands Arbitration Institute (NAI) administers many Dutch cases. Because the Netherlands is a party to the 1958 New York Convention, arbitral awards can be enforced in most countries, which helps when the other party has assets abroad.

What should you check as claimant?

Most of the strategic choices are made in the first week of a dispute.

  • Does the contract contain a forum clause, an arbitration clause or a choice of the NCC?
  • Is there real urgency that justifies summary proceedings?
  • Can the other party pay, or should you attach assets first?
  • Do you have the documents to prove your claim, or do you need access under Article 194 Rv?
  • Is your claim time-barred? A claim for performance of a contract prescribes five years after it became due (Article 3:307 BW).

What should you check as defendant?

Deadlines in Dutch litigation are short and missing them has consequences.

  • When is the first hearing date (roldatum) in the writ of summons? If you do not appear through a lawyer, a default judgment can follow.
  • Has an attachment been levied? You can ask the preliminary relief judge to lift it in summary proceedings.
  • Does the court have jurisdiction, or does an arbitration or forum clause apply? Raise this in your first statement.
  • Do you have a counterclaim to bring in the same proceedings?
  • After a judgment: the appeal term is three months, or four weeks in summary proceedings.
